These Terms and Conditions ("Terms") constitute a binding agreement between you ("Client," "you," or "your") and Maven Media ("we," "us," or "our"), a company incorporated in Australia. These Terms govern your use of our proprietary booking software service ("Service") and any related services provided by Maven Media.
By accessing or using our Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of the Service immediately.
1. Definitions
"Service" refers to the systems provided by Maven Media, including the missed-call conversion system designed to automatically text missed callers with prompts to re-engage, and the booking platform which allows clients to capture, confirm, and remind customers of appointments. Maven Media does not handle or guarantee appointment bookings.
"Client Data" refers to any personal data, information, or other materials provided by the Client to Maven Media.
"Subscription" refers to the payment plan selected by the Client upon onboarding, detailing payment intervals and applicable fees for continued access to the Service. Subscriptions may be monthly, annual (pay in full), or annual with instalment options.
"Mobile Number" refers to the dedicated Maven Media virtual mobile number assigned to the Client's account for use in missed-call recovery and engagement messaging.
2. Service Overview and Usage
Scope of Service: Maven Media provides services that identify missed calls and initiate automated, personalised text messages to potential clients, and/or manage booking flows with reminders and follow-ups. The Service aims to increase client engagement but does not confirm or schedule appointments on the Client's behalf.
No Guarantee of Appointments: [Your Business Name] solely provides re-engagement prompts and booking facilitation. The effectiveness of these tools in securing appointments depends on factors outside our control. [Your Business Name] does not guarantee any appointment outcome.
Limited Licence: Subject to these Terms, [Your Business Name] grants the Client a limited, non-transferable, non-exclusive, revocable licence to access and use the Service solely for business engagement and client re-engagement.
3. Ownership of Mobile Number
Any mobile number provided as part of the Service remains the exclusive property of Maven Media. Upon cancellation, access to the number will be revoked.
4. Acceptance of Terms and Modifications
By signing up or using the Service, you agree to abide by these Terms. Maven Media reserves the right to modify the Terms at any time. Continued use constitutes acceptance of any changes.
5. Account and Registration Requirements
Clients must provide accurate business and payment details. The Service is available only to authorised business owners or representatives of legal age.
6. Free Trial
We offer a two-week free trial. If not cancelled 24 hours before expiry, it will convert to a paid Subscription. Only one trial is permitted per business.
7. Subscription Options and Payment Obligations
Subscriptions may be monthly, annual (pay in full), or annual with instalments. Fees are due per agreed billing cycle. Late payments may result in suspension and interest charges.
Refunds exclude SMS credits or extra service charges. All payments are non-refundable unless covered under our Satisfaction Guarantee (Section 8).
8. Satisfaction Guarantee
After 12 continuous months of paid Service, a full refund and an optional additional 12 months of Service may be granted if major unresolved issues are proven. Client must demonstrate consistent usage and issue reporting.
Requests must be made in writing within 30 days of the end of the 12-month period.
9. Service Availability and Limitations
We strive for reliable uptime but cannot guarantee uninterrupted Service. We may suspend access for maintenance with reasonable notice.
10. Client Responsibilities
Clients must maintain accurate data and comply with all applicable communication and privacy laws. Misuse of the platform is grounds for termination.
11. Intellectual Property
Maven Media retains full ownership of the platform and tools. Clients retain ownership of their data but grant us a licence to use it for providing the Service.
12. Discontinuation of Website Features Upon Cancellation
Widgets and booking features will be deactivated upon cancellation. Continued use post-cancellation without authorisation is prohibited.
13. Privacy and Data Security
We collect and use Client Data to provide and improve the Service. Data is protected to industry standards. For more, see our Privacy Policy.
14. Limitation of Liability
We are not liable for appointment outcomes, indirect damages, or business losses. Our total liability is limited to the fees paid in the 12 months prior to any claim.
15. Indemnity
Client agrees to indemnify Maven Media against claims arising from misuse, breach of these Terms, or legal violations.
16. Termination
Clients may terminate with 30 days' notice. We may suspend access for breach or legal compliance.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of Australia. Disputes will be resolved in the courts of Tasmania.
18. Entire Agreement
These Terms constitute the full agreement between the parties and supersede all prior representations and agreements.
